Terms of Service

Welcome to simplate. By creating an account, connecting your WhatsApp Business Account (WABA), utilizing our Model Context Protocol (MCP) server, or integrating our APIs, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating a workspace or initiating any API call on the simplate platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These terms constitute a legally binding agreement between you (or the entity you represent) and Tizyou Tecnologia.

2. Account and API Key Security

  • API Key ConfidentialityTo access our semantic gateway services, you will generate and utilize cryptographically secure API Keys. You are strictly and exclusively responsible for maintaining the absolute confidentiality of your API Keys, passwords, and accounts.
  • Security BreachesYou must notify us immediately of any unauthorized use of your API Keys or any other breach of security. Tizyou Tecnologia cannot and will not be liable for any loss or damage arising from your failure to safeguard your credentials.
  • Autonomous Agent ResponsibilityIf you deploy automated agents, AI builders, or third-party LLM frameworks (such as Cursor or Claude Desktop) utilizing your API Keys, all transactions and API usage generated by these agents are legally deemed as actions executed by you.

3. Acceptable Use & Anti-Spam Policy

We enforce a zero-tolerance policy for messaging abuse. WhatsApp is a conversational platform built on trust, and we require our developers to behave ethically.

  • Explicit Consent (Opt-in)You legally warrant and guarantee that you have obtained explicit, verifiable consent (*opt-in*) from every recipient phone number before dispatching any message through simplate. You are strictly forbidden from cold-messaging or sending unsolicited communications.
  • Spam, Scams & Prohibited ContentYou agree not to use the Service to transmit spam, fraudulent schemes, phishing attempts, malicious payloads, hate speech, or messages violating Meta's official WhatsApp Commerce Policy.
  • Meta PoliciesYour use of our gateway must fully comply with the WhatsApp Business Terms of Service and WhatsApp Business Policy. Any violation of Meta's rules is a direct violation of these Terms and will result in the immediate termination of your simplate workspace.

4. Subscriptions, Limits & Billing

We offer distinct service levels structured to accommodate development and production-grade workloads:

  • Free Plan LimitsDesigned strictly for testing and prototyping. Includes a strict local database limit of a maximum of 3 active WhatsApp Message Templates registered at any given time. We reserve the right to throttle or rate-limit outbound transmission volumes on Free workspaces.
  • Scale Plan SubscriptionIncludes unlimited outbound templates, unlimited transmission volume, and support for outbound webhooks (real-time telemetry) and full Meta synchronization for $19/mo flat-rate. Subscriptions are processed securely via **Stripe, Inc.**
  • Meta Network Fees Disclaimersimplate is a software-only orchestration gateway. We do NOT cover, process, or pay any direct messaging network fees or conversation-based charges applied directly by Meta Platforms, Inc. to your WhatsApp Business Account (WABA) or credit card associated with the Meta Business Manager. All consumption costs charged by Meta for WABA network traffic are your sole, direct, and exclusive financial responsibility.

5. Limitation of Liability & Disclaimer

  • "As-Is" Warrantysimplate is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Meta Operational SusceptibilityBecause our software relies directly on the Meta Cloud API, Tizyou Tecnologia is not responsible for, and carries zero liability for, any service interruptions, API changes, deprecations, delays, or physical phone number suspensions/bans imposed by Meta Platforms, Inc. due to your message contents, customer complaints, or API usage.
  • Financial/Direct Damages CapTo the maximum extent permitted by law, Tizyou Tecnologia shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the platform. Our cumulative liability shall never exceed the total amount paid by you in the preceding three (3) months.

6. Modifications to Service & Terms

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, any portion of our software gateway. We may revise these Terms from time to time. For active paying subscribers (Scale Plan), we will provide at least fifteen (15) days' advance notice via email or console alert prior to any material changes taking effect. Your continued use of the platform after the revision date constitutes acceptance of the new terms.
